THESE TERMS OF USE (“TERMS”) APPLY TO ALL WEBSITES OPERATED BY HEALIX AND/OR ANY OF ITS AFFILIATES OR SUBSIDARIES (“HEALIX,” “WE,” “US,” OR “OUR”), INCLUDING WITHOUT LIMITATION HTTPS://WWW.HEALIX.NET AND HTTPS://WWW.HEALIXINFUSION.COM (COLLECTIVELY, THE “SITE”) IF YOU DO NOT AGREE TO THESE TERMS OR ARE YOUNGER THAN EIGHTEEN (18) YEARS OLD, DO NOT USE THIS SITE.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SITE. BY ACCESSING OR USING THE SITE YOU AGREE TO COMPLY WITH THE FOLLOWING TERMS OF USE. YOUR CONTINUED USE OF THE SITE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS.

2. OWNERSHIP AND USE OF CONTENT

The content and materials on the Site, including but not limited to text, graphics, logos, images, videos, and software (collectively, “Content”), are the property of Healix, its affiliates, and licensors. Content is protected by copyright, trademark, and other intellectual property laws.

(b) USAGE RESTRICTIONS. You may only access and use the Site for personal, non-commercial purposes. You may not copy, modify, distribute, reproduce, reverse engineer, or create derivative works based on the Site or its Content without prior written approval from Healix. 

(c) GEOGRAPHIC RESTRICTIONS. The Site is controlled, operated, and administered by Healix from its offices or servers within the United States of America (“U.S.”). Healix does not guarantee the availability or appropriateness of the Site’s content for users outside the U.S. If you access the Site internationally, you are responsible for complying with local laws.

(d) THIRD-PARTY CONTENT. Portions of the Site may feature third-party materials or links. Such materials are the property of their respective owners, and Healix is not responsible for the accuracy, availability, or performance of third-party content.

(e) BILLING PORTALS. The Site provides users access to a third-party billing portal where users may pay their bills. These functions are managed by a third party and you agree that your use of these functions is subject to the third-party terms found on such portal.

3. USER CONDUCT

By using the Site, including any Content and services available through it, you agree that not to:

(a) alter or tamper with the Site in any way;

(b) attempt to access restricted accounts or systems through unauthorized methods;

(c) use any device, software, or routine intended to damage or otherwise interfere with the proper functioning of the Site or servers or networks connected to the Site;

(d) harvest data or information using automated tools, including bots or spiders;

(e) use Healix’s trademarks, logos, or proprietary materials without proper authorization;

(f) upload content that violates copyrights, privacy, or proprietary rights of others.;

(g) impersonate others or misrepresent your identity, breach any contractual or confidentiality obligations, or violate the privacy rights of others; or,

(i) defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of any third party.

4. PERMISSIBLE USE

Except as indicated to the contrary elsewhere on the Site, you may view and print materials from the Site for personal use under the following conditions:

(a) you may only use the Content for your personal use or to request further information about Healix;

(b) you may not provide, sell, license, or lease the Content for any fee or other consideration;

(c) you must ensure all copyright, trademark, and other proprietary rights notices included in the Content as presented on the Site appear on all copies;

(d) you may not modify or alter the Content in any way; and

(e) you may not use any graphics separately from accompanying text.

If you submit feedback, suggestions, or ideas about our Site or services (collectively, ‘Feedback’), you agree that Healix may use and incorporate your Feedback for any purpose without compensation. Your feedback is valuable to us and may be used to enhance our Site, products, or customer experience.

6. LINKS TO THIRD-PARTY CONTENT

As a convenience to you, the Site may include links to third-party websites or services for your convenience. Healix does not control or endorse these external sites’ content, availability, or accuracy. Use of third-party resources is at your own risk and subject to their respective terms of service.

7. MODIFICATIONS TO THESE TERMS

Healix reserves the right to update or modify these Terms at any time. We will notify you of any changes by posting the updated Terms on the Site with a new effective date. Your continued use of the Site after modifications indicates your acceptance of the revised Terms.

8. YOUR PRIVACY

Healix will treat any information it collects or receives from you through the Site in accordance with its online Privacy Policy (the “Privacy Policy”), which is incorporated by reference. Please review the Privacy Policy before you use the Site. If you are unwilling to accept the terms and conditions of the Privacy Policy, please do not use the Site.

9. MOBILE MESSAGING PROGRAM

Program Name: Healix Mobile Text Program

Program Description: Healix offers a mobile text messaging program to send participants informational and service-related messages, including appointment reminders, infusion scheduling updates, medication notifications, and other healthcare communications related to Healix’s services.

Enrollment: By providing your mobile phone number to Healix or your physician and consenting to participate in the Healix Mobile Text Program, you agree to receive recurring automated text messages from Healix at the mobile number provided. Consent to receive text messages is not a condition of receiving any Healix service.

Message Frequency: Message frequency varies based on your individual program participation and healthcare needs. You may receive multiple messages per month.

Message and Data Rates: Message and data rates may apply. Please contact your wireless carrier for details about your plan.

Opt-Out and Help Instructions:

• To stop receiving text messages from Healix, reply STOP to any message. After opting out, you will receive a single confirmation message and will receive no further messages unless you re-enroll.

• For assistance, reply HELP to any message or contact us at (800) 422-2204 or [email protected].  

Carrier Liability: Carriers are not liable for any delayed or undelivered messages.

Privacy: Mobile information, including text messaging opt-in data and consent, will not be shared with third parties or affiliates for marketing or promotional purposes. For more information on how we handle your data, please review our Privacy Policy.

10. TYPOGRAPHICAL ERRORS

Healix’s goal is to provide complete, accurate, and up-to-date information on the Site. The Site may contain typographical mistakes, inaccuracies, or omissions, and some information may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.

11. DISCLAIMER OF WARRANTIES

The Site and its Content are provided “as is” and “as available.” Healix disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, error-free performance, or compatibility with your device. 

12. LIMITATION OF LIABILITY

To the fullest extent permitted by Law, Healix is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site. Healix’s total liability will not exceed $100 if certain jurisdictions do not permit such limitations.

13. IDEMNIFICATION

You agree to indemnify and hold harmless Healix, its affiliates, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) related to your use of the Site or violation of these Terms.

14. DISPUTE RESOLUTION

Any disputes arising from the use of the Site will be resolved exclusively through confidential arbitration in Fort Bend County, Texas, as per the rules of the American Arbitration Association (AAA). No class-action or collective claims are permitted. Each party shall bear its own legal fees, and punitive damages are excluded.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any unresolved disputes will fall within the non-exclusive jurisdiction of state or federal courts in Fort Bend County, Texas.
